1. Acceptance of Terms
Welcome to ZOMART ("we," "us," "our"), a digital marketplace platform operated by ZOMART Inc. that connects independent sellers with buyers. By accessing or using our website, mobile applications, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and ZOMART. We may revise these Terms at any time by posting an updated version. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts to use the Services. By registering an account, you represent and warrant that you meet these eligibility requirements and that the information you provide is accurate and complete. Sellers must complete the full application process, including business verification, identity verification, and tax information submission, and maintain an active Pro Seller subscription to list products on the marketplace.
3. Account Registration
You must register an account to make purchases, list products, or access certain features. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.
4. ZOMART as Marketplace Intermediary
ZOMART provides a platform technology service that facilitates transactions between buyers and sellers. We are not a party to the contracts between buyers and sellers, nor are we the seller of record for products listed on the marketplace. Sellers are responsible for their product listings, inventory, fulfillment, customer service, and returns. ZOMART facilitates payment processing, order management tools, and dispute resolution through the A-to-z Guarantee program.
5. Buyer Terms
5.1 Ordering. When you place an order, you are entering into a purchase transaction with the seller, not ZOMART. Prices are set by sellers and displayed at checkout. We reserve the right to correct pricing errors. 5.2 Payment. Payments are processed through Stripe, our payment processor. By placing an order, you authorize us to charge your payment method for the total amount shown, including applicable taxes and shipping. 5.3 Order Cancellation. Orders may be cancelled before the seller ships the product. Once shipped, cancellation requests must be directed to the seller or handled through the return process.
6. Seller Terms
6.1 Seller Application. All sellers must complete the application process, including business registration, identity verification, document submission, and tax information. ZOMART reserves the right to approve or reject applications at its discretion. 6.2 Pro Seller Subscription. Approved sellers must maintain an active Pro Seller Plan subscription at $14.99 per month to access selling privileges. Subscription fees are non-refundable except as required by law. 6.3 Listing Accuracy. Sellers must provide accurate product descriptions, images, pricing, and inventory data. Misleading or inaccurate listings may result in removal, suspension, or termination. 6.4 Fulfillment. Sellers must fulfill orders within the stated processing times. Failure to meet fulfillment standards may result in account health penalties or suspension. 6.5 Fees. Sellers are responsible for all applicable referral fees, fulfillment fees, and subscription fees as described in the Seller Agreement.
7. Prohibited Items and Activities
You may not use the Services to list, sell, or purchase: illegal products, counterfeit or pirated goods, weapons, explosives, regulated pharmaceuticals, recalled products, hazardous materials, stolen goods, or any item that infringes intellectual property rights. Prohibited activities include: fraud, money laundering, shill bidding, review manipulation, harassment, unauthorized data collection, and any violation of applicable laws.
8. Intellectual Property
ZOMART respects intellectual property rights. We do not allow listings that infringe copyrights, trademarks, patents, or other intellectual property rights. Rights owners may submit takedown requests through our IP infringement process. Sellers retain ownership of their brand content but grant ZOMART a license to display and distribute product information on the marketplace for the purpose of facilitating transactions.
9. Reviews and User Content
Users may submit reviews, questions, and other content. You agree that your content is accurate, original, and does not violate any rights. We may remove content that is fraudulent, offensive, misleading, or violates these Terms. Review manipulation, including paying for reviews, offering incentives for positive reviews, or posting reviews for products you have not purchased, is strictly prohibited and may result in account termination.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. ZOMART IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, OR LEGALITY OF PRODUCTS LISTED BY SELLERS. WE ARE NOT LIABLE FOR SELLER CONDUCT, PRODUCT DEFECTS, OR FULFILLMENT FAILURES BEYOND OUR ROLE AS PLATFORM PROVIDER.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOMART SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZOMART IN THE PRECEDING TWELVE MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify and hold harmless ZOMART, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your infringement of any rights of a third party.
13. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall first be attempted to be resolved through informal negotiation. If unresolved, disputes shall be submitted to binding arbitration administered by the American Arbitration Association in Wilmington, Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.
14. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and without prior notice. Upon termination, all licenses granted to you cease immediately. Sellers with active subscriptions will not receive refunds for partial billing periods except as required by law.
15. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email or prominent notice on the Services. Your continued use after the effective date constitutes acceptance of the updated Terms.
